Directors' & Officers' Liability

Non Profit Organizations

Public awareness of the responsibilities of Directors and Officers is ever-increasing. Directors and Officers of non-profit organizations must now consider liabilities for which they may be held personally responsible.

Claims are being advanced by government bodies, employees, contractors, customers and members.

With Directors' and Officers' Insurance, personal protection is afforded to individual Directors and Officers including the cost of defence and settlement. An organization and its' Directors and Officers may have access to lawyers who are experienced in the complexities of Directors' and Officers' litigation.

For Profit Organizations

As the Canadian corporate landscape becomes more threatened due to the actions or inactions of Directors and Officers, the frequency and severity of claims brought against Directors and Officers has been increasing. Directors and Officers face the possibility of being sued for their activities and decisions. Whether an outside Director only participating in quarterly meetings or a full-time salaried officer, the list of potential plaintiffs can include shareholders, customers, regulatory bodies, competitors, employees and creditors. Directors' and Officers' Liability Insurance provides coverage on two related fronts:

  1. Coverage is provided to you as an individual Director or Officer in the absence of corporate indemnification.
  2. The policy will pay on behalf of the corporation amounts for which it is required or permitted to indemnify its' Directors and Officers. The risk is transferred to the insurer, thereby preserving the Corporation's assets.
The defence of claims against you is a very important feature of your Directors' and Officers' Liability Insurance policy. The policy features include "Duty to Defend" and "First Dollar Defence" for claims initiated in Canada. With "First Dollar Defence", you will have the benefit of not paying any defence costs.

Equipment Breakdown Insurance

Even if your business has no boilers, it may need equipment breakdown insurance. This insurance closes the gap created by many business policies which exclude certain types of breakdown losses for property such as boilers, elevators, electrical apparatus, computers, production and HVAC equipment. The gap includes not only repair and replacement of the equipment, but also the loss of revenues if a business interruption claim results from the initial loss.

Only an Equipment Breakdown policy, for example, would pay for the replacement of an elevator electrical panel blown out by a power surge. It could also reimburse the business for its loss of rents due to the fact that tenants would be unable to use the elevator during the repair time.

Is your Company and its' directors and officers safely covered?

Do you think a lawsuit against your directors or officers can disable your Company?

Any decision made by a director or officer today can result in a lawsuit by a Client, Creditor, Government Agency, Contractor, Competitor and other third parties not mentioned. You as the director or officer are affected directly along with your Company.

Do you think you are in any potential risk if your officers and fiduciaries have just talked about a possible conflict of interest?

If your fiduciaries and trustees are decision making on pensions and how they are used and invested, they and your Company are open to extraordinary responsibilities and obligations imposed by the Pension Benefits Standards Act.

Do you believe a discrimination lawsuit can put you out of business?

Evolving case law in Canada makes suits more common and costly. The lawsuit can be actual or alleged wrongful dismissal, discharge or termination of employment. The cost to defend is onerous and the settlement could be detrimental to the viability of your Company.

Could you Company be at risk if you ask any of your officers to serve on a non-profit board?

Your Company may request or encourage officers to serve on the boards or as officers of non-profit organizations. Like their for-profit counterparts, directors and officers of non-profit organizations are exposed to the same liability from the outside community service, especially if your Company is the only ìdeep pocketî available to the Claimant.

We can provide you with the proper Directors and Officers coverage whether your Company is a "for profit", "non- profit", or "public" Company.
